Terms & conditions:the commercial ground rules from quotation to warranty
This page sets out the ten commercial points overseas buyers confirm most often: quotation and validity, order confirmation and contract formation, payment and credit terms, delivery and shipping space, warranty, liability, force majeure, intellectual property, governing law and amendments. It is not an offer. Every amount, liability cap and penalty is agreed only in the signed contract and its annexes.
verifiedWritten for business buyers, not consumer transactions. Where clauses conflict, the signed contract, the purchase order and the proforma invoice take precedence, in that order.

Ten commercial points, clause by clause
Each block corresponds to one condition to settle before signing. Wherever a figure or a liability limit would be needed, this page says instead that the signed contract governs.
rule1. Scope and order of precedence
Where clauses conflict, the order of precedence is: the signed contract and its annexes → the purchase order and proforma invoice → this general page. Anything here that conflicts with a signed contract is superseded by that contract.
request_quote2. Quotations and validity
A quotation is valid for 14 calendar days from issue, and any production capacity reserved at your request is held for the same 14 days. Past that window — or if cell and material prices, freight rates or carrier space policy move materially — we re-price and confirm in writing. Orders already under a signed contract are unaffected.
handshake3. Order confirmation and contract formation
Container orders: formed when both parties sign the contract (or seal and return the proforma invoice) and the deposit stated in it is paid.
Discussions at a trade show, messages in a chat app, preliminary email confirmations, inquiry registrations and reserved capacity quotas do not form a contract; they are pre-signing correspondence only.
payments4. Payment methods and credit terms
Credit terms are offered only to contracted, credit-assessed long-term customers, with the limit, tenor and any security agreed in writing. Orders with no credit terms in the contract follow the standard milestones above. Interest on late payment or penalty rates are not set on this page and follow the contract.
local_shipping5. Delivery and shipping space
Lithium batteries are dangerous goods, so space is limited by each carrier’s DG allocation and route policy: the actual sailing date is confirmed when the carrier confirms the booking. If a vessel closes out, skips a port or is rescheduled, we notify you in writing immediately and arrange the next available sailing. Reference loading: about 180 units per 20GP and 320+ per 40HQ, reconfirmed against the actual model and packaging.
verified_user6. Warranty
Covered and excluded cases (impact-broken enclosures with water ingress, use of a non-compliant charger and similar) plus the claim workflow are set out in warranty terms and the RMA process, which this page follows. If a contract annex states a different term or test standard, the annex governs.
balance7. Limitation of liability
Any cap on total compensation, the scope of liability and the recovery mechanism follow the signed contract. This page sets and implies no specific compensation amount or percentage.
storm8. Force majeure
The affected party must notify the other in writing within a reasonable time and provide such evidence as is available; the parties then agree a revised schedule or delivery arrangement according to the impact. How to proceed if the event lasts beyond an agreed period is set by the contract.
copyright9. Intellectual property and tooling ownership
For custom enclosures, dedicated brackets and bespoke tooling developed against your vehicle and battery box, ownership, scope of use and subsequent disposal follow the contract. Where tooling costs are charged, the contract should state who stores the tooling and the conditions for its use and transfer.
gavel10. Governing law, disputes, amendments and contact
Disputes: the parties first negotiate in good faith; failing that, the dispute is submitted to the competent authority in Guangzhou. That is our standard wording and it is negotiable — the signed contract always governs, and if it names another governing law or arbitral body, that applies instead.
Amendments: this page may be revised as the business and regulations evolve. Revisions apply to new quotations and orders from the date of publication; rights and obligations under a signed contract are unaffected.
